1. The agreement
These terms are a contract between you and Avendrio, the company that operates the Avendrio website and product. You accept them by creating an account, by using the product, or by continuing to use the website. If you are using Avendrio on behalf of a company or other organisation, you confirm that you are allowed to bind it, and "you" includes that organisation.
Our privacy policy explains how we handle information and forms part of these terms. If you have a separate written agreement with us, for example an Enterprise contract, that agreement wins where the two conflict.
2. The service
Avendrio lets you create AI agents with defined roles, organise them into teams, work with them in rooms, meetings and boards, and keep a record of every agent action. Agents act within the authority you give them. Steps that need a person's approval wait for one. Some actions, such as placing a trade, are reserved for people and cannot be delegated to an agent.
The product is a tool. You decide what work goes into it, which agents you create, what they are allowed to do and which of their outputs you use.
3. Accounts and projects
- You must be at least 16 and give accurate account details. Keep your password private. You are responsible for what happens under your account until you tell us it has been compromised.
- A project is owned by the person who created it, or by whoever that person transfers it to. The owner controls the project's plan, members, agents and content, and is responsible for how it is used.
- When you invite someone to a project, you are responsible for having the right to share the project's content with them. Members see the work in the projects they belong to.
- Project administrators can set limits on what agents may do. Those limits bind the agents, not us.
4. Plans, usage and payment
Free plan
You can use Avendrio free of charge within the limits shown in the product, which include limits on people, agents, concurrent work and daily AI usage. We may change those limits with notice in the product. The free plan is for evaluating and lightly using Avendrio, and we may close free projects that have been inactive for a long period after emailing the owner.
Paid plans
- Prices are shown on the pricing page in US dollars and exclude taxes, which are added at checkout where they apply. Each plan includes a number of people and a monthly pool of AI usage.
- Plans are billed in advance, monthly or annually, and renew automatically at the end of each period until cancelled. Annual plans are priced at ten months of the monthly price.
- You can upgrade at any time; the difference is charged pro rata. You can downgrade or cancel at any time, taking effect at the end of the current period. We do not refund unused time except where the law requires it or we say so in writing.
- When a project's usage pool is running low we warn the owner. If the pool is used up, agent work pauses until the next period unless the owner has turned on top-ups. Top-ups are opt-in, capped at a maximum the owner sets, and charged at the rate shown in the product.
- If a payment fails we will tell you and retry. If it still fails after a reasonable period we may move the project to the free plan or suspend it.
- We may change prices. Changes apply from your next renewal, and we will email the project owner at least 30 days before a price increase takes effect.
5. Your content
Everything you put into Avendrio, and everything your agents produce from it, is yours. We take no ownership of it. You give us the permission we need to store, process, display and transmit it to run the service for you, including sending the relevant parts to the model, search and connected-service providers described in the privacy policy.
You are responsible for your content: that you have the right to use it, that it does not infringe anyone's rights, and that it does not break the law. We may remove content or suspend a project if we reasonably believe it breaks these terms or the law, and we will tell you when we do unless the law prevents it.
You can export your content and the action record from the product while your project exists. After a project is deleted we are not obliged to keep a copy.
6. Agents and AI output
- Agents generate text and take actions using large language models. Their output can be inaccurate, incomplete, out of date or inappropriate, and it can look confident when it is wrong. Check it before you rely on it.
- Nothing an agent produces is professional advice. In particular, nothing in Avendrio is financial or investment advice, and the product never places orders, trades or transfers of money on anyone's behalf.
- You are responsible for the actions you authorise agents to take and for the decisions you make on their output, including decisions you delegate through approval rules you set.
- Outputs are not unique. Similar input from another customer may produce similar output, and we cannot promise that any output is free of third-party rights.
- We may change which model providers we use, and which models are offered on each plan, to keep the service working and affordable.
7. Connected services
If you connect Google Drive, Slack, a CRM, another Avendrio project, or your own external program, you confirm you are allowed to grant that access and you accept that service's terms. Agents act on connected services only within the access you grant, and only as part of work you have set up. We are not responsible for what a connected service does with the requests it receives, for its availability, or for changes it makes to its API that affect the connection.
8. Acceptable use
You may not use Avendrio to:
- break the law, or help anyone else to;
- send unsolicited bulk messages, or deceive or impersonate people, including by presenting an agent as a human where that would mislead;
- harass, threaten or discriminate against people, or produce content that sexually exploits anyone;
- infringe anyone's intellectual property, privacy or other rights;
- access data or systems you are not authorised to access, or try to get around plan limits, security measures or approval controls;
- probe, overload or disrupt the service, or resell it without our written agreement;
- build or train a competing model or product by scraping or systematically extracting output.
You must also respect the usage policies of the model providers whose models your agents run on. We may suspend or limit a project that breaks this section, and we will tell you why when we do.
9. Our intellectual property
Avendrio, its software, design, name and logo belong to us or our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service while the agreement lasts. You may not copy, modify, reverse engineer or create derivative works from the service except where the law allows it regardless of this clause. If you send us feedback, we may use it without obligation to you.
10. Availability and changes
We work to keep Avendrio available and will tell you about planned maintenance where we can, but we do not promise uninterrupted service unless a separate agreement says so. We improve the product continuously and may add, change or remove features. If we remove something that materially reduces what your paid plan does, we will tell you in advance and you may cancel for a pro rata refund of the remaining period.
11. Ending the agreement
- You can delete your account or a project at any time from the product or by emailing us. Deleting a project removes its content from the live service as described in the privacy policy.
- We may suspend or end your access if you break these terms, if we must do so to comply with the law, or if we stop offering the service. Except where the breach is serious or the law prevents it, we will give you notice and a chance to put things right first.
- If we stop offering the service, we will give paying customers at least 60 days' notice and a way to export their content, and refund any prepaid period beyond the closing date.
- Sections 5, 6, 9, 12 and 13 continue to apply after the agreement ends.
12. Warranties and liability
We provide Avendrio with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided "as is" and we make no other promises about it, including about the accuracy of AI output, fitness for a particular purpose or results you will achieve.
To the extent the law allows, we are not liable for indirect or consequential loss, loss of profit, revenue, data or business opportunity, or for losses arising from decisions you or your agents make on AI output. Our total liability to you under this agreement in any twelve-month period is limited to the amount you paid us for the service in that period, or 100 US dollars if you paid nothing.
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or the rights you have as a consumer where consumer law applies to you.
You agree to cover us against claims by third parties that arise from your content, your use of connected services, or your breach of these terms.
13. General
- Changes to these terms. We may update these terms. For changes that reduce your rights or add obligations we will email account holders at least 30 days before they take effect. Continuing to use the service after that date means you accept the new terms; if you do not, cancel before then.
- Notices. We send notices to the email address on your account. You send notices to us at info@avendrio.com.
- Governing law. These terms are governed by the law of the country in which the Avendrio operating company is registered, and disputes are brought in its courts, without affecting any protection you have under the mandatory law of the country where you live. We will name the company and its country on this page and in the footer once its details are confirmed.
- Whole agreement. These terms, the privacy policy and any separate written agreement are the whole agreement between us about the service.
- Assignment. You may not transfer this agreement without our consent. We may transfer it to a successor that takes on the service.
- Severability and waiver. If part of these terms is found unenforceable, the rest still applies. Not enforcing a term is not a waiver of it.
